Party A and Party B are hereinafter collectively referred to as the Parties and each individually as a Party.

WHEREAS

  1. (the Existing Legal Relationship);
  2. Explanation to Whereas A

    "Whereas A" is the place to describe the legal relationship that exists between the parties and the background to the dispute. If the parties cannot agree on the description of the legal relationship, they could specify that in whereas A.

  3. A dispute has arisen between the Parties relating to
    (the Dispute);
  4. Explanation to Whereas B

    "Whereas B" is the place to describe the dispute. If the parties cannot agree on such description, they could each give their own account of the dispute. For example: "A dispute has arisen between the Parties relating to [include the description of the dispute according to Party A], according to [insert definition for party A], and relating to [include the description of the dispute according to Party B], according to [insert definition for party B] (the Dispute)"

  5. The Parties do not want, or are not able, to settle the Dispute now and do not want to prejudice their legal position with this agreement on provisional measures (the Agreement), but understand the need for provisional measures;
  6. In view of the Coronavirus disease 2019 (COVID-19), the Parties wish to agree the temporary provisional measures set out in clause 1 below, subject to the terms and conditions of this Agreement.
  7. Explanation to Whereas C and D

    "Whereas C" and "Whereas D" set out the main reasons for the parties to conclude this agreement: they are not willing or able to settle the dispute at this point in time. However, they do understand the need for provisional measures and in view of the Coronavirus disease 2019 (COVID-19), they agree these provisional measures themselves.
